Writer Employment Agreement

An Independent Filmmaker/Producer/Investor may have an idea for a Script. The idea may require purchasing Rights from an Author and/or Owner of the literary story sought. The idea may be origin. Either way a Writer is required to be hired to create the Script from the literary story or original idea.

An Employment Agreement is used to hire a writer. The employed Writer receives a guaranteed payment for his labor, even if the script never gets produced. And if the script is produced, the Writer may or may not receive additional compensation in the form of a bonus or a percentage of profits. The Writer’s Lawyer will draft any and all other clauses for the writing Project’s unique situations and circumstances.

As a “Work-for-Hire,” the Independent Filmmaker/Producer/Investor owns the Copyright. The Writer gets the money compensation for her/his/their skill , time and effort. The Independent Filmmaker/Producer/Investor gets the script. Since the Independent Filmmaker/Producer/Investor owns the work, she/he/they can produce the Project, shelve the Project or even hire someone entirely new to rewrite the Project.

This Agreement between the Writer-for-Hire and the Producer is drafted in plain English that is easy to read and comprehend. This is a five page, twenty-four clause legal Agreement. The Agreement may be filled in on your computer or printed out and filled in later.

This Agreement is part of the Actor’s Deal, the Director’s Deal, the
Producer’s Deal, and the Investor’s Deal.

Writer Collaboration Agreement

Negotiating a Collaboration Agreement between two or more collaborating Writers forces the parties to resolve important issues before they invest a lot of time and effort in the collaboration. Difficult questions may arise during the writing process that are best negotiated beforehand. Who has ownership of work that has been created and in what percentage?

The Writers are well advised to enter a written Collaboration Agreement before one word is written on the Project. If the relationship is not going to work, it is best to know in the beginning. A lot of time, effort and potential negative emotions are prevented.

This Agreement between the independent Writers is drafted in plain English that is easy to read and comprehend. This is a four page, nineteen clause legal Agreement. The Agreement may be filled in on your computer or printed out and filled in later. Your Lawyer will draft any and all other clauses for your writing Project’s unique situations and circumstances.

Certificate of Origin

The Independent Filmmaker/Producer/Investor will be supporting the greatest distribution world-wide that her/his/their Project can command.

A Certificate of Origin (often abbreviated to CO) is a document used in international trade. It traditionally states from what country the shipped goods originate, but “originate” in a CO does not mean the country the goods are shipped from, but the country where the goods are actually made.

This Agreement is drafted in plain English that is easy to read and comprehend. This is a "Short Form" two page, three clause with notarization legal Agreement. The Agreement may be filled in on your computer or printed out and filled in later. Your Lawyer will draft any and all other clauses for your Project’s unique situations and circumstances.

This Agreement is part of the Producer’s Deal, and the Investor’s Deal.

The Independent Filmmaker/Producer/Investor must make certain that she/he/they have ownership of the Copyright in the script/material that is used in her/his/their Project.

A Certificate of Authorship is a common delivery item given to the Distributor by the Producer. The Certificate of Authorship certifies the identity of the Copyright Owner of the Script. This document is one of the documents that make up the “chain-of-title,” which are the contracts that vest all rights in a motion picture in the producer.

If the Script was written by a Writer on his own behalf, and then “sold” to a Producer, the initial Copyright Owner would be the Writer. In this instance, the Producer would require the Writer to assign or transfer the Project Rights to the Script to the Producer.

This Agreement between the independent Writer and the Producer is drafted in plain English that is easy to read and comprehend. This is a three page, eleven clause legal Agreement. The Agreement may be filled in on your computer or printed out and filled in later. Your Lawyer will draft any and all other clauses for your Project’s unique situations and circumstances.

The Independent Filmmaker/Producer/Investor must have good Legal Advice. Without the advice to keep the paperwork in order the Independent Filmmaker/Producer/Investor’s Project may not get Exhibition. Without exhibition there will be no revenue.

Lawyers have a fiduciary duty to their clients. This means the lawyer should be putting the client’s interests first, ahead of what is convenient or profitable for the Lawyer. When hiring an entertainment Lawyer, it is advisable to retain someone who specializes in the field. A real estate Lawyer may think it exciting to dabble in entertainment law but he may not have the specialized knowledge that an experienced entertainment Lawyer possesses. Within the entertainment arena, some Lawyers do a lot of litigation while others may restrict their practice to deal making and drafting agreements.

Before retaining a Lawyer, you should carefully review the Retainer Agreement. The rate a Lawyer charges is often negotiable and many Lawyers charge a lesser rate to low-budget independent filmmakers. Communication can be by email.

A Promissory Note is used when a Borrower borrows money from the Lender/Investor, from another person or from a Financial Institution. The Borrower agrees to repay the Loan according to the terms of the Promissory Note. If the Note is unsecured, there is no collateral other than the promise of the Borrower to pay back the Loan. Your Lawyer will draft any and all other clauses for your Project’s unique situations and circumstances.

Lenders/investor’s should consider their investment with caution because Loans to Independent Filmmakers/Producers are risky. As a debt instrument, a promissory note is not a security. The borrower is entitled to a return of his money plus interest.

A clause guaranteeing repayment of this promissory note is a Guarantee signed by another person or company. Depending upon your jurisdiction the Note may need legal registration. If the Borrower fails to repay the loan, the Lender can proceed against the Guarantor for repayment.

Production Services Contract

Sometimes an Investor in a Project wants to contract with another company to provide most or all of the production services necessary to produce a Project. By contracting with another company, the Investor may be seeking to protect herself/himself from any liability arising from the production. Since the production services company is usually a separate legal entity, the Investor should not be liable if, for instance, a cast or crew member is hurt on the set. After the Project has been produced, the Agreement often provides that all Rights to the Project are assigned back to the Investor. The service company is only entitled to be reimbursed for the cost of production. Your Lawyer will draft any and all other clauses for your Project’s unique situations and circumstances.

While the Investor may want to insulate herself/himself from liability, the Investor may well want to maintain tight fiscal and creative control over the Project. It is not unusual for the Investor to insist that she/he must approve the budget, cash flow schedule and all major creative decisions. Contractually, the Investor may have “Takeover Rights” which permit her/him taking over production of the Project under certain conditions. In this case, the service company is being used to insulate the Investor from liability.

This Contract is drafted in plain English that is easy to read and comprehend. This is a eleven page, sixteen clause legal Agreement. The Contract may be filled in on your computer or printed out and filled in later.

A Joint Venture is an entity formed between two or more parties to undertake an economic Project together. The parties agree to create a Joint Venture by both contributing financial funds for the Project. The parties to the joint Venture then share in the revenues, expenses, and control of the enterprise.

The phrase generally refers to the purpose of the entity and not to a type of entity. Therefore, a joint venture may be a corporation, limited liability partnership or other legal structure, depending on a number of considerations such as tax and tortious liability.

An Independent Project can be a risky business. Any one making a loan to an Independent Filmmaker/Producer/Investor will probably require a Guarantee signed by a Guarantor. The situation in which a Guarantee is most typically required is when the ability of the Independent Filmmaker/Producer/Investor to perform her/his/their obligations under an Agreement is in question, or when there is some public or private interest, which requires protection from the consequences of the Independent Filmmaker/Producer/Investor’s default or delinquency.

A Guarantor is the person(s) who agrees to be responsible (guarantees payment) for the debt or obligation of another, the Independent Filmmaker/Producer/Investor.

An Independent Filmmaker/Producer/Investor can create a soundtrack either by obtaining the Right to use existing music or by commissioning an original musical score by a music composer and or lyricist to create something new for the Project, or a combination of both.

An Independent Filmmaker/Producer/Investor can economize by using songs by unknown, local songwriters that are available for little or no money. Fledgling songwriters often want to gain visibility and stature by having their music in a movie. The Independent Filmmaker/Producer/Investor should keep in mind that a song performed in a movie that is broadcast can generate royalties for the songwriter (through ASCAP or BMI). Thus songwriters have a financial incentive to have their music on a soundtrack even if they do not receive a fee from the Independent Filmmaker/Producer/Investor.

Film Clip Release

A Film Clip License is often used when an Independent Filmmaker/Producer may desire to use a Film Clip in her/his Project. This pre-existing film footage may be purchased from an individual or a stock footage house (the “Seller”) that is in the business of selling/licensing film clips.

The Producer purchasing the Film Clip Footage must be careful to ensure that all the necessary Rights are being acquired from the Seller. For example, the film may be based on a copyrighted book, and it could incorporate music, special effects, animation, stock footage and works of art. These underlying Works were probably only licensed for a one-time use in the original feature film. Thus, the Seller of stock footage may not have the Right to make a new use of any underlying works. Another potential problem arises when several parties share the Distribution Rights to a film clip. An example might occur when a studio owns Domestic Rights and the Foreign Rights have been sold to other distributors. Can the Owner of such Foreign Distribution Rights prevent a Producer from distributing a program with the clip in foreign territories?

This Agreement between the independent Seller and the Producer is drafted in plain English that is easy to read and comprehend. This is a five page, fourteen clause legal Agreement. The Agreement may be filled in on your computer or printed out and filled in later. Your Lawyer will draft any and all other clauses for your Project’s unique situations and circumstances.

The Independent Filmmaker/Producer/Investor desires to use the Author’s Work (story, script, book rights etc.) in her/his Project. The Producer (Recipient of Rights/Assignee) will use this Agreement to transfer the Rights in the Work to her/him from the Author (Owner of the Rights/Assignor). This is called “assigning” your right to receive the property or money.

With an assignment, the Owner of the Rights (the “Author of the Work”) transfers the complete remainder of the Interest in the Work to the Recipient of the Rights, (the “Independent Filmmaker/Producer/Investor). The Rights assigned must not retain any sort of reversionary interest in the right to possess, unless specifically stated in the Agreement.

If the Producer is signing an Agreement for Rights to a Work she/he must check that no previously existing contract disallows allows an assignment. The Producer should also check whether the assignment substantially changes the obligations of the person with whom you signed the Agreement. If it does, your rights may not be assignable. The Producer is advised to have her/his Lawyer review the Agreement before signing.

An Independent Filmmaker, (a.k.a. the Producer of a/your Project), may require an Independent Minor Actor, (a person under the age of majority, a child actor), for the Project.

Employment of child actors raises special concerns because minors can repudiate contracts. A producer cannot enforce a disaffirmed contract. In hiring a minor, the Producer must also comply with provisions of the Labor Codes of the Jurisdiction and regulations of any Labor Commission.

Minors cannot perform work that is hazardous or detrimental to their health, safety, morals or education.

The Minor must have her/his contract signed by her/his Parent/Guardian. The Minor Actor(s) must have a Parent or Guardian on the set or qualified supervision. Children tend to get bored, restless, and may wander.

Signing this contract the independent Minor Actor is assigning any and all Rights to their performance over to the Producer. The Parent/Guardian release is attached.

This Agreement between the independent Minor Actor and the Producer is drafted in plain English that is easy to read and comprehend. This is a four page, fourteen clause legal document. The Agreement may be filled in on your computer or printed out and filled in later.

Boiler–plate clauses, amongst others in the Agreement, include: waiver of Minor Actor’s right to inspect or approve the final cut, confidentiality, dismissal for drug/alcohol/illegal photographs/nuisance etc., engagement dates, termination notice. Your Lawyer will draft any and all other clauses for your Project’s unique situations and circumstances.

There are two forms of this Agreement. The first agreement is drafted for the Minor Actor’s free/gratis grant of her/his/Acting skills in the Producer’s Project. The Project may be a film, music video, stage play, documentary, animation/cartoon voice-over etc.

The second form of the Agreement is the independent Minor Actor for Pay.

This Agreement is one of the contracts in the Actor’s Deal and Director’s Deal.
