Confidentiality Agreement
If you’re a Writer you’ve worked long diligent hours perfecting your script. If you’re an Investor, Producer, Director or Actor you’ve searched long and diligently for the perfect Project. Now you are ready to begin the film, music video, stage play, documentary etc.
Do not give the Script away. Do not give the story line away. Insure yourself against gossip and leakage about your project.

1. Confidential Information.
The above named and below signed Confider proposes to disclose certain of her/his/their confidential and proprietary information (the "Confidential Information"), to the above named and below signed Recipient regarding the above named Project. Confidential Information shall include all scripts, characters, settings, locations, special effects, costuming, make-up, lighting, sound, data, materials, products, technology, computer programs, specifications, manuals, business plans, software, marketing plans, business plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media, to Recipient by Confider regarding the Project. Nothing herein shall require Confider to disclose any of its information.
2. Recipient’s Obligations under Agreement
A. Recipient agrees that the Confidential Information is to be considered confidential and proprietary to Confider and Recipient shall hold the same in confidence, shall not use the Confidential Information other than for the purposes of its Project business with Confider, and shall disclose it only to those involved in the Project on a specific need to know basis. Recipient will not disclose, publish or otherwise reveal any of the Confidential Information received from Confider to any other party whatsoever except with the specific prior authorization of Confider.
B. Confidential Information furnished in tangible form shall not be duplicated by Recipient except for purposes of this Agreement. This includes any and all scripts and or script revisions, photographs, film etc. . . . (continued)
Extra Release
As an Independent Filmmaker, (a.k.a. the Producer of a/your Project), you will be auditioning Independent Extras for your Project. As an Independent the Extra is not an employee, nor partner, nor agent of the Producer and/or of the Production Company.
An independent Extra is a background performer, (a.k.a. “BG”), who does not speak any dialogue (other than general background chatter). Extras may include any special ability extras such as those who perform work which requires special skills such as playing tennis, dancing, or riding animals, or principle actor stand-ins, who are used as substitutes for another actor while the camera crew blocks shots and sets lights, and photographic doubles of the principle actors.
Signing this contract the independent Extra is assigning any and all Rights to their performance over to the Producer.

1. The Extra hereby confirm that she/he is over the age of eighteen and the Extra agrees to be photographed in connection with the above named Project.
2. The Extra hereby grants to the Producer, the Producer’s successors, assigns and licensees, the right to use at the Producer’s desire, all video, still and motion pictures which are made of the Extra in connection with the above mentioned Project.
3. The Extra is giving her/his Acting skills and services gratis to the Project. The Extra further understands that by granting this permission the Extra is irrevocably giving up all rights and claims to monetary compensation for any future uses of this material by the above persons & organizations.
4. This Agreement shall not at any time render the Extra an employee, nor partner, nor agent of the Producer for any purpose whatsoever. The Extra is and will remain an “Independent Extra” in her/his relations to the Producer. The Producer shall not be responsible for withholding any Government remittances with respect to the Extra’s compensation hereunder. The Extra shall have no claim against the Producer hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.
5. The Extra agrees to hold The Producer, Cast and Crew and any and all Third Parties harmless against any liability, loss or damage (including reasonable attorney’s fees) caused by or arising from . . . (continued)

Instant Dismissal from the Set
In each and every Agreement drafted herein for the Independent Filmmaker an Instant Dismissal Clause from the set or location is included. The Independent Filmmaker may not know each and every person on set, especially if she/he has used the services of a Casting/Crew Agency in a new location, or has had an open casting for a Group or Audience scene.
Use of alcohol or mind altering drugs before or during time on the set or location will command instant dismissal. Creating a nuisance will command instant dismissal. Time is money on a Project shoot.
This INSTANT DISMISSAL for the SET/LOCATION is drafted in plain English that is easy to read and comprehend. This is a one page legal Agreement detailing the reason for dismissal. It is necessary especially if the dismissed person should take legal action against you or your company. The Agreement may be filled in on your computer or printed out and filled in later.

Minor Actor/Model Release
An Independent Filmmaker, (a.k.a. the Producer of a/your Project), may require an Independent Minor Actor, (a person under the age of majority, a child actor), for the Project.
Employment of child actors raises special concerns because minors can repudiate contracts. A producer cannot enforce a disaffirmed contract. In hiring a minor, the Producer must also comply with provisions of the Labor Codes of the Jurisdiction and regulations of any Labor Commission.
Minors cannot perform work that is hazardous or detrimental to their health, safety, morals or education.
The Minor must have her/his contract signed by her/his Parent/Guardian. The Minor Actor(s) must have a Parent or Guardian on the set or qualified supervision. Children tend to get bored, restless, and may wander.
Signing this contract the independent Minor Actor is assigning any and all Rights to their performance over to the Producer. The Parent/Guardian release is attached.

2. The Actor hereby waives any right to inspect or approve the finished photograph, videotape, film, printed matter or advertising copy that may be used in conjunction therewith or the eventual use to which the Materials be applied.
3. The Actor hereby releases, discharges and agrees to hold harmless, the Producer, the Photographer, or Sound Recordist, their representatives, assigns, employees or any person or persons, corporation or corporations, acting under the Producer’s permission or authority, or any person, persons, corporation or corporations, for whom the Producer might be acting, including any firm publishing, presenting and/or distributing the Materials, in whole or in part, from and against any liability as a result of this presentation or any distortion, blurring, or alteration, optical illusion, or use in . . . The above named Model hereby gives the Producer, those for whom the Producer may be acting, the Producer’s successors, assigns, licensees and any other designees, forever, the absolute right and permission, throughout the world, to copyright, to renew and extend any copyright, to use, to reuse, to publish and republish photographic portraits and pictures of the Model, or in which the Model may be included, in whole or in part or composite or distorted in character or form, whether already taken or to be taken in the future, in conjunction with the Model’s own or a fictitious or honorary name or title (which the Model now has or may have in the future) or reproductions thereof, in color or otherwise, made through any media at any place for art, advertising, trade, or any other purpose whatsoever.
2. The Model also consent to the use of any printed matter and to giving the Model, or not giving the Model, a credit, in the sole discretion of any of the aforementioned parties to whom this authorization and release is given, in conjunction therewith.
3. The Model hereby waive any right that the Model may have to inspect and/or approve the finished product or the advertising copy or printed matter that may be used in connection . . . (continued)
Nudity Rider
As an Independent Filmmaker, (a.k.a. the Producer of a/your Project), you may be auditioning independent Actor/Models for your Project to perform scenes with nudity.
A Producer must obtain an Actor/Model’s prior written consent if a nude or sex scene is required. This consent must be secured before services commence. Otherwise, the Actor/Model can refuse to perform the scene. The Actor/Models must be notified before a first interview or audition if any nudity or sex acts are required as part of a role. Actor/Models have the right to be accompanied to the audition by a person of their choosing. Total nudity cannot be required at interviews or auditions.
Sets have numerous individuals present for production purposes. This may create anxiety for the Actor/Model who is not familiar with the cast and crew. During any nude scenes, the set must be closed to persons who have no business purpose to be present. The Producer cannot authorize any still photography of nudity or sex acts without the prior written consent of the Actor/Model.

3. The Extra is giving her/his Acting skills and services gratis to the Project. The Extra further understands that by granting this permission the Extra is irrevocably giving up all rights and claims to monetary compensation for any future uses of this material by the above persons & organizations.
4. This Agreement shall not at any time render the Extra an employee, nor partner, nor agent of the Producer for any purpose whatsoever. The Extra is and will remain an “Independent Extra” in her/his relations to the Producer. The Producer shall not be responsible for withholding any Government remittances with respect to the Extra’s compensation hereunder. This Agreement between the independent Minor Actor and the Producer is drafted in plain English that is easy to read and comprehend. This is a four page, fourteen clause legal document. The Agreement may be filled in on your computer or printed out and filled in later.
Boiler–plate clauses, amongst others in the Agreement, include: waiver of Minor Actor’s right to inspect or approve the final cut, confidentiality, dismissal for drug/alcohol/illegal photographs/nuisance etc., engagement dates, termination notice.

The second form of the Agreement is the independent Minor Actor for Pay.
This Agreement is one of the contracts in the Actor’s Deal and Director’s Deal.

1. For and in consideration as an “Independent Minor Actor” (hereafter called the “Actor”), engaged by the Producer(S) and the Production company (hereafter called the “Producer”), on terms stated herein, the above named Actor hereby gives the above named Producer(s), their legal representatives and assigns, those for whom the Producer is acting and those acting with their permission, or their employees, the right and permission to copyright or use, reuse and/or publish, and republish or present photographic (still and/or live action) images of me, with or without my voice recorded, and/or recordings of my voice, in which I may be distorted in character, or form, in conjunction with my own or fictitious name, on any reproductive media, including film, digital video, video tape, Web sites, multi-media programs, or the like, in color or black & white, made through any media by the Producer, in the studio or elsewhere (the “Materials”), for any purpose whatsoever; including the use of any printed matter or live action presentation in conjunction therewith.
2. The Actor hereby waives any right to inspect or approve the finished photograph, videotape, film, printed matter or advertising copy that may be used in conjunction therewith or the eventual use to which the Materials be applied.
3. The Actor hereby releases, discharges and agrees to hold harmless, the Producer, the Photographer, or Sound Recordist, their representatives, assigns, employees or any person or persons, corporation or corporations, acting under the Producer’s permission or authority, or any person, persons, corporation or corporations, for whom the Producer might be acting, including any firm publishing, presenting and/or distributing the Materials, in whole or in part, from and against any liability as a result of this presentation or any distortion, blurring, or alteration, optical illusion, or use in . . . Model Release for Pay
As an Independent Filmmaker, (a.k.a. the Producer of a/your Project), you may be auditioning Independent Models for your Project. As an independent the Model is not an employee, nor partner, nor agent of the Producer and/or of the Production Company.

Herein this Agreement the independent Filmmaker is called the “Producer”.
1. The above named Model hereby gives the Producer, those for whom the Producer may be acting, the Producer’s successors, assigns, licensees and any other designees, forever, the absolute right and permission, throughout the world, to copyright, to renew and extend any copyright, to use, to reuse, to publish and republish photographic portraits and pictures of the Model, or in which the Model may be included, in whole or in part or composite or distorted in character or form, whether already taken or to be taken in the future, in conjunction with the Model’s own or a fictitious or honorary name or title (which the Model now has or may have in the future) or reproductions thereof, in color or otherwise, made through any media at any place for art, advertising, trade, or any other purpose whatsoever.
2. The Model also consent to the use of any printed matter and to giving the Model, or not giving the Model, a credit, in the sole discretion of any of the aforementioned parties to whom this authorization and release is given, in conjunction therewith.
