Herein this Agreement the independent Filmmaker is called the “Producer”.

1. The Material(s) Owner(s) hereby grant to the Producer permission to use the Material(s) listed, for loan-out condition and identification, in Exhibit “A”, belonging to the above named Owner(s), to be used in the above named Project.

2. The Producer hereby agrees and warrants to fix, mend, replace and restore to the original condition all Material(s) as originally loaned.

3. If any Material(s) loaned is/are over________________________ in value or the cumulative value of the Material(s) exceeds _______________ in value, the Producer warrants and agrees to Insure the Materials for replacement value.

4. Full credit will be given to the Material(s) Owner(s) during the Project’s ending credits.

5. The Producer shall solely own the copyright in the aforesaid Project, and any advertising or promotional material for such Project. The Producer shall have all Rights to use said Project hereinafter devised, and in all countries and territories worldwide, in perpetuity. The undersigned Owner(s) also consents to the use of the images of said Materials(s) in any printed matter and advertising and marketing materials used to promote said Project.

6. The undersigned Owner(s) hereby waives any Right that he/she/it may have to inspect or approve the finished Project, or the advertising copy or printed matter that may be used in connection therewith, or the use to which it may be applied.

7. The undersigned Owner(s) hereby releases, discharges, and agrees to hold harmless Producer, its legal representatives, and assigns, and all persons acting under its permission or authority, or those for whom it is acting, from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form, whether intentional or otherwise, that may occur or be produced in the taking of said Project image(s) . . . Herein the Producer is known as the Licensee.

1.LICENSE:(a) Grant of License: Licensor grants to Licensee for the term of this Agreement, subject to the terms and conditions herein contained, and Licensee hereby accepts, the exclusive right, license and privilege to utilize the names, characters, artists’ portrayal of characters, likenesses and visual representations as included in Project (collectively the "Property") solely and only in connection with the manufacture, advertising, distribution and sale of the article or articles specified in Schedule "A" attached hereto and by this reference made a part hereof (such articles being referred to herein as "Licensed Products") under the terms and conditions stated herein. Licensee agrees that it will not utilize the Property in any manner not specifically authorized by this Agreement.

(b) Limited Grant: Nothing in this Agreement shall be construed to prevent Licensor from granting any other licenses for the use of the Property in any manner whatsoever, except that Licensor agrees that, except as provided herein, it will grant no other licenses effective during the term of this Agreement, for use in the Licensed Territory of the Licensed Product(s). Licensor specifically reserves all rights not herein granted, including, without limitation, premium rights. For purposes of this Agreement, premium rights shall mean use of the Property in such manner as to identify it with a particular product or service other than the Licensed Products. It is clearly understood that the Licensed Products may not be sold for use, or be used as, premiums, self-liquidators, containers, or for any secondary use without the prior written consent of the Licensor.

2. TERRITORY: The license hereby granted extends only to the territory described in Schedule "B," attached hereto and by this reference made a part hereof (hereinafter: "Licensed Territory"). Licensee agrees that it will not make, or authorize, any use, direct or indirect, of the Licensed Products or Property in any other area, and that it will not knowingly sell articles covered by this Agreement to persons who intend or are likely to resell them in any other area, to the extent this prohibition is permitted . . . HENCE, in consideration of the promises, and of the mutual undertakings herein contained, and for other good and valuable considerations, the above named and below signed Company and the above named and below signed Producer agree as follows:

1. When countersigned by the above named and below signed Company Official, on behalf of the above named Company, (herein called the "Company"), this Agreement will confirm that the Company has agreed to, and hereby does grant to the above named and below signed Producer and Producer Company, (herein called the “Producer”), the Right to use its above named Product(s), including any related logo(s) and trademark(s) (herein called collectively, the "Product") in the above named Project.

2. This Agreement shall be effective from ______________________ 20 ___ until __________________________ 20 ______. Any extensions shall be agreed, recorded and signed by all Parties.

3. Details of the agreed use(s) of the Product(s) in the Project are recorded in Appendix “A”. The Producer agrees that the Product will not be used in a disparaging manner.

3. Details of the compensation for the uses of the Product(s) in the Project are detailed in Appendix “B”.
