Herein this Agreement the independent Filmmaker is called the “Producer”.

1. The writer guarantees the Script and all literary material of all of the results and proceeds of Writer’s Script in connection therewith, was written solely by the Writer. The above named and below signed Producer ("Owner") is purchasing the above named Script from the above named and below signed Writer for the above named Project, with the Owner being deemed the Author of the Script.

2. The Writer guarantees that the Script is wholly original and has not been adapted from any other literary, dramatic or any other material of any kind or nature, excepting only incidental material which is in the public domain throughout the world; that the Script does not contain any material which copies or uses the plot, scenes, sequences, story or characters of any other literary, dramatic or other work; that the Script does not infringe upon any statutory or common law rights in any other literary, dramatic or other materials; that no material in the Script is libelous or violative of the rights of privacy of any other person and the full use of the rights in the Script herein granted to the Owner will not violate any rights of any person, firm or corporation, and that the Script is not in the public domain in any country in the world where copyright protection is available.

3. The Writer agrees that the Owner owns, throughout the world, in perpetuity, all right, title and interest in and to the Script and any and all parts thereof, including, but not limited to all motion picture rights, television rights, video rights, publication rights and merchandising and commercial tie- up rights. Such rights include all rights in and to the title by which the Script is now, was or may hereafter be known, the theme thereof and the characters, story, ideas and all other elements therein contained or contained in any version thereof now or hereinafter created, sequel rights in the Script and the rights to secure copyrights in the Script and any motion picture or other use which is based in whole or in part upon the Script in the name and of and for the benefit of . . . The above named Writers (“Writers”) desire to collaborate in the writing of the above named Project, on the terms hereinafter set forth.

HENCE, in consideration of the promises, and of the mutual undertakings herein contained, and for other good and valuable considerations, the above named Writers agree as follows:

1. The Writers hereby undertake to collaborate in the writing of a certain original Project (herein called the “Project”).

2. The Writers shall collaborate in the writing of the Project and upon completion thereof shall be the Joint Owners of the Project sharing all Rights equally.

3. The Writers contemplate that they will complete the manuscript of the Project by ______________________________ 20 ___.
The failure to complete the Project by such date shall not be construed as a breach of this Agreement on the part of either Writer.

4. If, prior to the completion of the Project, either Writer shall voluntarily withdraw from the collaboration, then the other Writer shall have the Right to complete the Project alone or in conjunction with another collaborator or collaborators, and in such event the percentage of ownership, as hereinbefore provided in paragraph 2, shall be revised by mutual agreement in writing or, failing such agreement, by arbitration in accordance with the procedures hereinafter prescribed.

5. If, prior to the completion of the Project, there shall be a dispute of any kind with respect to the Project, then either Writer may terminate this Collaboration Agreement by written notice to the other Writer, and should they fail to agree upon the terms of such termination agreement, they shall submit the dispute for arbitration in accordance with . . . Herein this Agreement the independent Filmmaker is called the “Producer”.

1. The above named Producer employs Writer to perform and Writer agrees to perform writing services for Producer’s proposed above named Project.

2. All of Producer’s obligations under this Agreement are expressly conditioned upon Writer’s completion of the Writing Project, to Producer’s satisfaction.

3. The completed results and product of Writer’s services (including all material created, added, interpolated and submitted by Writer) shall be deemed the "Work" which shall be created in each of the applicable forms listed below ("Forms of Work"):

Forms of Work

(a) Use of Work: In Producer’s sole, absolute and unfettered discretion, Producer may use or not use the Work and may make any changes in, deletions from or additions to the Work.

(b) If the Work is based on an original idea or material ("Property") created by Writer, Writer hereby grants the Producer the same Rights in the Property as Producer is acquiring hereunder in the Work. The compensation payable to Writer pursuant to Paragraph 5 includes payment for said Rights in the Property and for the writing services of Writer hereunder.

4. Writer agrees to complete and deliver each Form of Work and the Work, including any changes and revisions required by Producer by ________________________________ 20____.
